These Terms of Service ("Terms") govern your access to and use of the Local Rankings AI website, software platform, ranking tools, ranking maps, heatmaps, reporting dashboards, subscription plans, Done-For-You services, onboarding services, demo scheduling, and related products or services (collectively, the "Service").

These Terms are a legal agreement between you and Local Rankings AI LLC ("Local Rankings AI," "we," "us," or "our").

By creating an account, clicking "I agree," requesting a free rankings map, scheduling a demo, purchasing a plan, connecting a third-party account, submitting onboarding information, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility and Authority

You must be at least 18 years old to use the Service.

If you use the Service on behalf of a business, company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and to authorize Local Rankings AI to access, analyze, manage, edit, or provide recommendations for the business accounts, listings, profiles, websites, analytics properties, and data you connect or provide.

You may not use the Service for any business, location, website, profile, listing, platform account, analytics property, or third-party account that you do not own or have permission to manage.

2. Description of Service

Local Rankings AI provides local SEO software and services designed to help businesses understand, manage, and improve their local online visibility.

The Service may include, depending on your plan or selected features:

Local ranking maps and heatmaps
Google map-pack and local search visibility tracking
Keyword and location-based ranking reports
Google Business Profile tools
Google Search Console and Google Analytics insights
Directory listing tools
Review and reputation-management tools
Website audit and optimization recommendations
Local expansion page recommendations
Structured data and schema recommendations
Site speed and technical SEO recommendations
Reporting dashboards
Demo walkthroughs and onboarding support
Done-For-You local SEO services
Other software, reports, recommendations, automations, or services we make available

Features may vary by plan and may change over time.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account, whether authorized by you or not, unless caused by our willful misconduct.
You agree to provide accurate, current, and complete information and to keep your account information updated.
You must notify us promptly at contact@localrankings.ai if you believe your account has been compromised or if you become aware of unauthorized use of your account.
We are not responsible for losses or damages caused by your failure to maintain the confidentiality of your login credentials, failure to secure your devices, failure to limit user access, or failure to promptly notify us of unauthorized access.

4. Third-Party Platform Connections

The Service may allow you to connect third-party accounts or platforms, including Google Business Profile, Google Search Console, Google Analytics, Bing, Apple Business Connect, Facebook, Yelp, website content management systems, website hosting accounts, analytics platforms, advertising platforms, directory platforms, scheduling tools, payment processors, and other services.

By connecting a third-party account, you authorize Local Rankings AI to access, collect, process, display, analyze, and, where applicable, submit, sync, or recommend updates to that account as needed to provide the Service.
You are responsible for complying with the terms, policies, rules, guidelines, and access requirements of all third-party platforms you connect or use.
Local Rankings AI is not owned by, endorsed by, sponsored by, or affiliated with Google, Bing, Apple, Meta, Facebook, Yelp, or any other third-party platform unless expressly stated.
We are not responsible for third-party platform outages, data limitations, API changes, policy changes, ranking changes, account suspensions, account restrictions, review removals, profile edits, profile rejections, directory rejections, verification issues, or other actions taken by third-party platforms.
You may revoke connected account access through the relevant third-party platform or by contacting us.

5. Google API and Google Business Profile Use

If you connect a Google account, Google Business Profile, Google Search Console property, Google Analytics property, or other Google service, you authorize us to access and use the Google data permitted by the permissions you grant.

Our use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

You are responsible for ensuring that you have authority to connect the Google account, business profile, analytics property, or search console property and to authorize us to access or manage it.

You may revoke our access to your Google account through your Google Account permissions page.

6. Free Tools, Rankings Maps, Trials, and Demos

We may offer free tools, free rankings maps, demo experiences, trial features, limited-access accounts, promotional offers, or sample reports.
Free features may be changed, limited, suspended, or discontinued at any time.
Ranking maps, heatmaps, audits, reports, and visibility scores are estimates based on available data, search conditions, location signals, third-party platforms, and our methodology. Results may vary by time, location, device, browser, keyword, search personalization, data availability, and platform behavior.
Free tools do not guarantee that additional data, ongoing tracking, recommendations, optimizations, Done-For-You services, or continued access will be provided unless you purchase a paid plan.
Scheduling a demo does not guarantee eligibility for any specific plan, price, offer, or service.

7. Done-For-You Services

If you purchase Done-For-You services, you authorize Local Rankings AI and its employees, contractors, vendors, or service providers to perform the work included in your selected plan.

Depending on your plan, Done-For-You services may include:

Account setup
Local SEO recommendations
Google Business Profile optimization
Directory listing work
Review-request setup
GBP posts
Facebook posts
Website optimization recommendations
Website content updates
Technical SEO recommendations
Local expansion page recommendations
Structured data or schema recommendations
Reporting
Ongoing improvements
Other work described at signup, in your plan, on our website, or in written communications

You agree to provide timely access, approvals, credentials, information, content, business details, and cooperation needed to perform the services.
If your plan includes website updates, listing updates, profile changes, content recommendations, technical recommendations, or other optimization work, you authorize us to make updates within the scope of your selected plan and any approvals you provide.
You remain responsible for reviewing and approving business information, legal claims, service descriptions, pricing, offers, guarantees, compliance statements, website content, profile information, and customer-facing communications.
Delays in providing access, approvals, or information may delay results or service delivery.

8. Website Access and Website Changes

If you provide access to your website, website hosting account, content management system, DNS provider, domain registrar, analytics account, tag manager, or related tools, you represent and warrant that you have authority to provide that access.
You authorize Local Rankings AI to use the access you provide solely as needed to perform the services you request or purchase.
You are responsible for maintaining backups of your website, content, systems, and data.
Although we use reasonable care when making or recommending website changes, you acknowledge that website updates, plugins, scripts, tracking tags, schema, speed optimizations, CMS changes, DNS changes, hosting changes, or third-party integrations can sometimes cause unexpected issues, including display issues, tracking issues, indexing changes, broken functionality, downtime, or compatibility problems.
To the maximum extent permitted by law, Local Rankings AI is not responsible for losses, damages, business interruption, ranking changes, tracking issues, website issues, or third-party platform issues arising from access, instructions, credentials, approvals, systems, plugins, hosting, or content you provide, except to the extent caused by our willful misconduct.

9. Review and Reputation Compliance

You agree not to use the Service to create, purchase, request, facilitate, manipulate, suppress, or display fake, misleading, incentivized, biased, or unlawful reviews.

You may not use the Service to:

Offer compensation, discounts, gifts, or other incentives in exchange for reviews where prohibited
Request only positive reviews or discourage negative reviews in a deceptive or unlawful way
Post reviews on behalf of customers
Create fake reviews or testimonials
Use AI-generated reviews presented as real customer reviews
Misrepresent customer opinions or experiences
Threaten, pressure, or intimidate customers into changing or removing reviews
Violate Google, Yelp, Facebook, FTC, or other applicable review policies

You are solely responsible for ensuring that your review-generation, customer outreach, testimonials, and reputation-management practices comply with applicable laws and platform policies.

10. Acceptable Use

You agree not to:

Use the Service for unlawful, deceptive, abusive, fraudulent, spammy, or harmful purposes
Access, manage, edit, or modify accounts you do not own or have permission to manage
Provide false, misleading, unlawful, infringing, or non-compliant business information
Violate third-party platform terms, API policies, advertising policies, review policies, or applicable laws
Interfere with the operation, security, or integrity of the Service
Attempt to gain unauthorized access to systems, accounts, data, code, or networks
Reverse engineer, scrape, copy, resell, sublicense, or commercially exploit the Service except as expressly allowed in writing
Upload malware, harmful code, unlawful content, or infringing content
Use the Service to send spam, unlawful marketing communications, or unlawful customer outreach
Circumvent usage limits, plan restrictions, billing systems, or security controls
Misrepresent your affiliation with Local Rankings AI or any third-party platform
Use the Service in a way that could damage Local Rankings AI, our users, third-party platforms, or the public

We may suspend or terminate access if we believe you violated these Terms or created legal, security, operational, platform, or reputational risk.

11. Subscriptions, Billing, and Payment

Some features require a paid subscription or paid service plan.

By purchasing a plan, you authorize us or our payment processor to charge your payment method for the fees, taxes, and other charges associated with your selected plan.

Subscription fees, plan features, billing intervals, setup fees, service inclusions, and renewal terms will be shown at signup, on the pricing page, in the checkout flow, in your subscription settings, or in written communications.

Unless otherwise stated in writing:

Subscription fees are billed in advance
Fees are non-refundable
Cancellations stop future renewals but do not automatically refund prior charges
You are responsible for applicable taxes
Failed payments may result in suspension or termination of service
Plan changes may take effect immediately or at the next billing cycle, depending on the checkout or billing process
Setup fees, onboarding fees, and Done-For-You service fees are non-refundable once work has begun

We may update pricing, plan names, plan features, or service inclusions from time to time. If pricing changes apply to your existing subscription, we will provide notice where required by law or by our billing platform.

12. Cancellation

You may cancel your subscription according to the cancellation process made available through your account, billing portal, support process, or written instructions from Local Rankings AI.
Cancellation stops future renewals but does not automatically refund amounts already paid unless otherwise stated in writing.
After cancellation, your access to paid features may continue until the end of the then-current billing period, unless your account is terminated earlier for violation of these Terms.
We may retain certain account, billing, reporting, analytics, and service records as described in our Privacy Policy.

13. No Guaranteed Rankings or Results

Local SEO results depend on many factors outside our control, including competition, proximity, searcher location, Google's algorithm, business category, business name, website quality, reviews, citations, third-party platform policies, market conditions, historical profile activity, user behavior, and data availability.

We do not guarantee:

Specific ranking positions
Map-pack placement
Search traffic increases
Lead volume
Phone calls
Form submissions
Revenue increases
Review volume
Review ratings
Google Business Profile approval
Google Business Profile reinstatement
Removal of suspensions or restrictions
Directory approval
Search engine indexing
Website speed scores
Website performance improvements
Advertising performance
Any specific business outcome

Any reports, heatmaps, audits, recommendations, examples, estimates, projections, case studies, or statements about potential outcomes are for informational and operational purposes only and are not guarantees.

14. Data, Reports, and Accuracy

The Service may use information from third-party platforms, public sources, APIs, search results, customer-provided data, automated systems, and proprietary analysis.

We make reasonable efforts to provide useful information, but we do not guarantee that any data, rankings, reports, heatmaps, audits, recommendations, alerts, insights, or dashboards will be complete, accurate, current, uninterrupted, or error-free.
Search results and local rankings can vary based on location, time, device, browser, search history, personalization, proximity, competition, and other factors.
You are responsible for independently reviewing and validating information before making business decisions.

15. User Content and Business Information

You retain ownership of business information, content, logos, photos, website content, reviews, messages, customer lists, and other materials you submit, upload, connect, approve, or provide to the Service ("User Content").

You grant Local Rankings AI a limited, non-exclusive, worldwide license to host, store, process, display, analyze, modify, transmit, and use User Content as necessary to provide, maintain, secure, and improve the Service and perform work you request.

You represent and warrant that:

You own or have the necessary rights to provide the User Content
The User Content is accurate to the best of your knowledge
The User Content does not violate applicable law
The User Content does not infringe or misappropriate third-party rights
You have obtained any required consents, permissions, or approvals

You are responsible for the accuracy, legality, and compliance of User Content.

16. Local Rankings AI Intellectual Property

The Service, including software, dashboards, reports, ranking methodology, workflows, templates, text, graphics, designs, features, tools, branding, logos, and other materials, is owned by Local Rankings AI or its licensors.

Except as expressly allowed in writing, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, scrape, or create derivative works based on the Service.

Using the Service does not transfer ownership of Local Rankings AI intellectual property to you.

17. Feedback

If you provide ideas, suggestions, requests, comments, improvements, or feedback, you authorize us to use them without restriction or compensation to you.

18. AI, Automation, and Recommendations

The Service may use automation, algorithms, artificial intelligence, machine learning, third-party data sources, and proprietary logic to generate recommendations, rankings, audits, content suggestions, reports, and other outputs.

AI-assisted or automated outputs may be incomplete, inaccurate, outdated, or unsuitable for your specific business.
You are responsible for reviewing outputs before relying on them, publishing them, approving them, or using them to make business decisions.
We are not responsible for decisions you make based on automated recommendations, reports, rankings, audits, or outputs.

19. Third-Party Services and Links

The Service may include links to or integrations with third-party websites, platforms, software, APIs, payment processors, scheduling tools, analytics providers, advertising platforms, directories, and service providers.

We do not control third-party services and are not responsible for their content, availability, data practices, policies, performance, outages, errors, security, or actions. Your use of third-party services is governed by their own terms and policies.

20. Confidentiality

In connection with the Service, either party may receive non-public business, technical, financial, account, access, operational, or strategic information from the other party.

Each party agrees to use reasonable care to protect confidential information and to use it only as needed to perform under these Terms, unless disclosure is required by law or authorized by the disclosing party.

Confidential information does not include information that is publicly available, independently developed, already known without a duty of confidentiality, or lawfully received from a third party.

21. Privacy

Our collection and use of information is described in our Privacy Policy. By using the Service, you acknowledge our Privacy Policy.

22. Communications

You agree that we may contact you by email, phone, SMS, or other contact methods you provide for service-related, transactional, onboarding, billing, security, support, demo, and account communications.
Where permitted by law, we may also send marketing communications, including product updates, local SEO tips, plan recommendations, promotions, and sales follow-ups.
You can unsubscribe from marketing emails at any time. Unsubscribing from marketing emails does not stop service-related, transactional, billing, security, support, or account communications.
You are responsible for ensuring that any customer lists, email addresses, phone numbers, or contact information you provide to us were collected lawfully and may be used for the purposes you request.

23. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service if:

You violate these Terms
You fail to pay fees when due
Your use creates legal, security, operational, platform, or reputational risk
You misuse the Service
You provide false, misleading, or unauthorized information
A third-party platform requires us to restrict access
We discontinue the Service or a feature

Upon termination, your right to access the Service ends. We may retain certain information as described in our Privacy Policy.

Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and dispute-related provisions.

24. Disclaimers

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, Local Rankings AI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.

We do not warrant that:

The Service will be error-free, secure, uninterrupted, or available at all times
Rankings, reports, recommendations, or data will be accurate, complete, current, or reliable
Third-party platforms will accept, publish, approve, retain, display, index, or rank any content, listing, profile, website, or update
Any local SEO, website, review, reputation, or business outcome will be achieved

You use the Service at your own risk.

25. Limitation of Liability

To the maximum extent permitted by law, Local Rankings AI LLC and its owners, officers, employees, contractors, agents, service providers, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, lost rankings, lost traffic, lost leads, lost goodwill, account suspensions, account restrictions, review removals, reputational harm, website issues, downtime, or third-party platform actions, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service, these Terms, any subscription, any free tool, any rankings map, any demo, or any Done-For-You service will not exceed the amount you paid to Local Rankings AI for the Service in the three months before the event giving rise to the claim, or $100 if you have not paid us.

The limitations in this section apply to all theories of liability, whether based on contract, tort, negligence, strict liability, statute, or any other legal theory, to the maximum extent permitted by law.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

26. Indemnification and Hold Harmless

You agree to defend, indemnify, and hold harmless Local Rankings AI LLC and its owners, officers, employees, contractors, agents, service providers, licensors, and affiliates from and against any claims, demands, damages, losses, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

Your use of the Service
Your business, website, listings, profiles, accounts, locations, content, data, customer lists, or customer communications
Your violation of these Terms
Your violation of applicable law, regulation, or third-party platform policy
Your review-generation, reputation-management, advertising, email, SMS, or customer outreach practices
Your failure to obtain proper consent, authorization, access rights, or approvals
Your connection of any account, profile, website, analytics property, search console property, business listing, directory listing, or platform that you do not own or have authority to manage
Any inaccurate, misleading, unlawful, infringing, or non-compliant information you provide to Local Rankings AI
Any changes, updates, posts, website edits, listing edits, profile edits, content, recommendations, or optimization work performed by Local Rankings AI based on information, access, instructions, credentials, or approvals you provide
Any dispute between you and your customers, employees, contractors, competitors, platforms, agencies, vendors, or other third parties
Your failure to review, approve, monitor, maintain, back up, or correct your business information, website, profiles, listings, content, customer communications, or third-party accounts

Local Rankings AI reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

You may not settle any claim in a way that imposes liability, obligations, or admissions on Local Rankings AI without our prior written consent.

27. Changes to the Service

We may add, remove, modify, limit, suspend, or discontinue features, plans, integrations, tools, reports, recommendations, or services at any time.

We are not liable for changes made by third-party platforms, including API changes, access restrictions, ranking changes, data limitations, policy updates, verification requirements, account restrictions, or discontinued integrations.

28. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date or last updated date above.

Your continued use of the Service after updated Terms are posted means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service.

29. Governing Law and Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Wisconsin, unless otherwise required by applicable law.

You agree to the personal jurisdiction of those courts for disputes relating to these Terms or the Service.

30. Miscellaneous

These Terms, together with the Privacy Policy and any plan-specific terms presented at signup, checkout, onboarding, or in written communications, form the entire agreement between you and Local Rankings AI regarding the Service.
If any provision is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, sale of assets, financing, reorganization, or similar transaction.
Headings are for convenience only and do not affect interpretation.

31. Accessibility

Local Rankings AI is committed to improving the accessibility and usability of our website and platform. We strive to follow recognized accessibility standards where reasonably achievable.

You acknowledge that some portions of the Service may rely on third-party tools, embedded services, connected platforms, APIs, customer-provided content, third-party websites, or external systems that are not fully controlled by Local Rankings AI. We are not responsible for accessibility barriers, errors, outages, or limitations caused by third-party services, customer-provided content, connected platforms, website themes, plugins, hosting environments, or systems outside our reasonable control.

If you experience difficulty accessing the Service, you agree to contact us at contact@localrankings.ai so we can review the issue and make reasonable efforts to address it.

Nothing in these Terms is intended to limit rights that cannot legally be limited under applicable accessibility, disability-rights, or consumer-protection laws.
